Carlos is a Senior Associate at Consortium Legal – Nicaragua with over 26 years of experience in the automotive, aviation, banking and financial services, real estate, energy, infrastructure, technology, media and telecommunications, and tourism sectors.

He has extensive experience in corporate and commercial law, including corporate and tax advisory, and has participated in public tenders, major mergers and acquisitions, syndicated loans for leading gold exporting companies in Nicaragua, and the formalization of documentation subject to local law.

He provides ongoing legal advice to corporations and financial entities, both local and international, on the execution and review of major contracts, secured and unsecured credit lines, subordinated agreements, tax matters, and other general advisory issues.

• Advised an investment vehicle manager in granting a USD 6 million credit line to a Canadian mining company with two subsidiaries in Nicaragua engaged in gold exploration and extraction. The work included due diligence on the subsidiaries, review of corporate documents, operational permits, contracts, tax matters, and contingencies, as well as preparing and executing local security documents on behalf of the lender.
• Advised CBC on the issuance and sale of an additional 5.250% sustainability-linked senior secured bond due in 2029, for a total amount of USD 1,100,000,000, a transaction that involved Citibank and JP Morgan as financing institutions.
